1. ABOUT THESE TERMS

Welcome to the official ESPIGA Pinto Estate Shop.

These Terms of Service govern access to and use of the website located at https://shop.espigapinto.com/, including any purchases made through the website and any related information, content, functionality, products or services made available through it.

The shop is operated by:

Bishop & Melo, Lda.
a private limited company incorporated under Portuguese law, acting as the official business representative of the ESPIGA Pinto Estate and the artist’s heirs;

In these Terms, “we”, “us”, “our” and the “Estate Shop” refer to Bishop & Melo, Lda. References to the “Estate” mean the ESPIGA Pinto Estate, where the context so requires.

The website is hosted using Shopify, which supplies the e-commerce technology through which we make the shop available. Purchases made through the shop are contracts entered into directly between you and Bishop & Melo, Lda., not with Shopify or the Estate.

Please read these Terms carefully before using the website or placing an order. By placing an order, you confirm that you have read and accepted these Terms and the policies expressly incorporated into them.

Nothing in these Terms excludes or restricts any consumer right that cannot lawfully be excluded or restricted.

2. THE ESPIGA PINTO ESTATE SHOP

The Estate Shop presents selected works, editions, publications and related objects connected with the artistic legacy of ESPIGA Pinto.

Its purpose is to make the artist’s work more accessible to collectors, researchers and wider audiences, while supporting the Estate’s archival, preservation, research and legacy activities.

Items offered through the shop may include:

  • original works on paper;
  • limited-edition prints;
  • silkscreens, engravings and woodcuts;
  • artist’s proofs, trial proofs and other proof states;
  • artist books, catalogues and publications;
  • archival or Estate-related objects; and
  • other works or items connected with the artist’s oeuvre.

Many items are rare, vintage, limited, unique or out of print and may be several decades old.

Works may be offered directly from the Espiga Family Collection or, occasionally, from selected private collections. A work sourced from a private collection will be reviewed by the Estate before being offered through the official shop.

3. ELIGIBILITY AND CUSTOMER INFORMATION

You must be at least 18 years old, or have full legal capacity under the law applicable to you, to place an order.

You must provide accurate, current and complete billing, delivery and contact information. You are responsible for checking the information entered before submitting an order.

Where an account is available, you are responsible for maintaining the confidentiality of your login credentials and for activity carried out through your account. Please contact us promptly if you believe that your account has been accessed without authorisation.

4. PRODUCT INFORMATION AND ARTWORK DESCRIPTIONS

Each work or item is described individually on its product page.

Depending on the information available, a product description may include:

  • title;
  • date or estimated date;
  • medium and support;
  • image, sheet or object dimensions;
  • edition number or edition size;
  • proof designation;
  • signature, inscription or stamp information;
  • condition information;
  • provenance;
  • accompanying documentation;
  • framing status; and
  • relevant Estate or archival notes.

We take reasonable care to ensure that product descriptions are accurate. Art-historical and archival research may nevertheless be ongoing. Where a date, edition detail, title, provenance or other catalogue information has not been conclusively established, this will, where material, be indicated using wording such as “circa”, “attributed”, “believed to be”, “subject to confirmation” or a comparable qualification.

A later scholarly or archival reassessment does not, by itself, mean that the item failed to conform to its description at the time of sale, provided that the relevant uncertainty was fairly disclosed before purchase. This does not affect your rights where information supplied by us was materially inaccurate, misleading or inconsistent with the item delivered.

Any catalogue note, art-historical commentary or contextual statement is supplied for cultural and informational purposes. It does not constitute financial, tax, legal or investment advice.

5. IMAGES, COLOUR AND INDIVIDUAL IMPRESSIONS

We endeavour to reproduce works and objects faithfully. Screen settings, lighting, photography, paper tone, printing processes and the age or condition of an item may cause its appearance in person to differ from its appearance on a screen.

For editioned works, an image displayed on the website may be a representative image and may not show the precise edition number or individual impression offered for sale. Unless the product page expressly states that the photograph depicts the exact item, the individual work supplied may exhibit minor differences normally associated with hand-printing, paper, registration, ink application, age, storage or the production of an edition.

The specific item being sold will be identified by the product description, edition or proof information, invoice and any accompanying documentation.

Where an individual characteristic is materially important to your purchase, you should request photographs or further information before ordering.

Nothing in this section limits your statutory rights where the item delivered does not correspond to its contractual description.

6. CONDITION OF VINTAGE AND PRE-OWNED WORKS

Many artworks, prints, books and objects offered through the shop are vintage, pre-owned or several decades old.

Age-related characteristics may include, where applicable:

  • toning or discolouration;
  • foxing;
  • handling marks;
  • minor creases or undulations;
  • edge wear;
  • old mounting traces;
  • pinholes;
  • fading;
  • surface deposits;
  • minor losses;
  • wear to bindings, covers or packaging; or
  • other evidence of age, previous display, storage or ownership.

Material condition issues known to us will be described where relevant. Minor age-related characteristics that are consistent with the item’s nature, age and disclosed condition are not necessarily defects.

Condition descriptions are statements of reasonable opinion rather than scientific guarantees. Terminology such as “good”, “very good” or “fair” is used contextually, having regard to the item’s age, medium and type.

Detailed condition reports or additional images may be requested before purchase. A condition report is intended to assist your assessment but may not identify every minor imperfection visible under specialised examination or laboratory conditions.

7. AUTHENTICITY, ATTRIBUTION AND DOCUMENTATION

Works offered through the official Estate Shop are reviewed by the Estate on the basis of the information and materials reasonably available at the time of review.

Where applicable, a work may be supplied with an invoice, certificate, Estate statement, provenance note or other documentation identified on the product page.

Unless expressly stated otherwise:

  1. documentation supplied with a work applies only to that specific work;
  2. documentation must not be altered, separated from the work for deceptive purposes or reproduced in a manner suggesting that it applies to another object;
  3. an Estate review or statement is not a guarantee of future inclusion in any catalogue raisonné, exhibition, publication or institutional collection; and
  4. no representation is made concerning future scholarly opinion, market acceptance or resale value.

Any authenticity commitment expressly made in the product description or accompanying documentation applies subject to its stated terms and does not limit mandatory consumer rights.

8. FRAMING

Works are sold unframed unless the relevant product page expressly states otherwise.

Framing may be offered as:

  • a separately priced service;
  • a bespoke quotation;
  • a service arranged after purchase; or
  • part of the product, where expressly stated.

The scope, materials, price, production time and delivery arrangements for framing will be stated separately.

Where framing is made to your specifications or clearly personalised, the statutory right of withdrawal may not apply to the bespoke framing service or personalised framed product, to the extent permitted by applicable law. You will be informed before placing the relevant order where this exception is intended to apply.

The fact that an original artwork or a numbered edition is rare, unique or limited does not, by itself, remove a consumer’s statutory withdrawal right.

9. AVAILABILITY

All products are subject to availability.

Because many works are unique or available in very small quantities, an item may become unavailable even after appearing on the website. This may occur, for example, because of a simultaneous sale, inventory error, condition concern or the need for further Estate review.

We may withdraw a product from sale before accepting an order. If payment has already been taken for an order we cannot accept, we will refund the amount paid using the original payment method, unless another method is agreed with you.

10. ORDERS AND CONTRACT FORMATION

Product listings are invitations to place an order and do not constitute binding offers by us.

By submitting an order, you make an offer to purchase the selected item under these Terms.

After submission, you may receive an automated acknowledgement confirming that the order has been received. This acknowledgement does not necessarily constitute acceptance.

A binding contract is formed when we send you an express order-acceptance or dispatch confirmation, or when we otherwise expressly confirm that the order has been accepted.

We may decline an order on reasonable grounds, including:

  • unavailability;
  • a material pricing or description error;
  • inability to verify payment;
  • suspected fraud or unlawful activity;
  • delivery restrictions;
  • legal or sanctions restrictions;
  • a condition or authenticity issue identified before acceptance; or
  • an order quantity or purchasing pattern inconsistent with the intended operation of the shop.

We will notify you if an order is declined. Any payment already collected for the declined order will be refunded.

The contract may be concluded in English and, where made available, Portuguese. We will retain an electronic record of the order for the period required by law. You should retain the order confirmation and these Terms for your records.

11. PRICES, VAT AND IMPORT CHARGES

Prices are displayed in EUR or, alternatively, in the user's local currency.

For sales to consumers, prices will include Portuguese VAT or other applicable consumption tax where the law requires it to be included. The VAT treatment may depend on the item, destination, customer status, applicable margin scheme and other legally relevant circumstances.

The total payable before order submission will identify the product price and any additional charge collected by us.

Shipping may be offered free of charge to eligible destinations. Eligibility will be confirmed at checkout or directly by us.

For deliveries outside the European Union, or to territories with separate customs or tax regimes, the recipient may be required to pay import VAT, customs duties, brokerage fees, handling charges or similar amounts imposed by the destination country. Unless checkout expressly states that these amounts are included, they are not collected by us and remain the recipient’s responsibility.

We do not control or estimate charges imposed by foreign customs or tax authorities. You are responsible for complying with lawful import requirements in the destination country.

If a clear and obvious pricing error occurs, we may contact you to offer the product at the correct price or cancel the order and refund any amount paid. We will not rely on this provision to alter a correctly stated price after contract formation.

12. PAYMENT

Available payment methods will be displayed at checkout and may include payment card and manual bank transfer.

Payment-card transactions may be processed by Shopify or another payment-services provider. We do not ordinarily receive or retain your complete card details.

For a bank-transfer order:

  1. we will provide payment instructions;
  2. the item may be provisionally reserved for 5 calendar days;
  3. the order will not be prepared for dispatch until cleared funds have been received and confirmed; and
  4. if payment is not received within the stated reservation period, we may release the item and cancel the pending order.

You must bear any bank fee charged by your bank or intermediary bank, unless otherwise agreed.

Ownership of an item does not pass until we have received payment in full. For consumers, risk passes as described in section 15.

13. ORDER CANCELLATION BEFORE DISPATCH

You may ask us to cancel an order before dispatch by contacting shop@espigapinto.com.

We will endeavour to accommodate the request, but an order may already have entered preparation, packing, framing or dispatch.

Any statutory right of withdrawal remains unaffected. Separate rules may apply to bespoke framing, personalised services or specially commissioned arrangements.

14. SHIPPING AND DELIVERY

We ship to selected countries and may change the destinations we serve.

Orders are packed according to the work’s nature, dimensions, medium and condition. Packaging may include resistant, water-resistant or waterproof protective materials, tubes, flat packages, crates or other suitable methods.

Any delivery date or transit time is an estimate unless we have expressly agreed a fixed delivery date.

We are not responsible for delay caused by events outside our reasonable control, including customs inspections, carrier disruption, extreme weather, strikes, transport restrictions or incomplete delivery information. We will nevertheless comply with any mandatory legal delivery period and keep you reasonably informed of a material delay.

Unless another period is expressly agreed, orders to consumers will be delivered within the period required by applicable law.

You must provide a complete and accessible delivery address. Additional costs caused by an incorrect address, unjustified refusal of delivery or repeated failed delivery may be charged to you where legally permitted and reasonably incurred.

15. TRANSFER OF RISK AND DELIVERY DAMAGE

For a consumer, risk of loss or damage passes when you, or a third party identified by you other than the carrier, takes physical possession of the item.

If you independently appoint a carrier that was not offered by us, risk may pass when the item is handed to that carrier, to the extent provided by applicable law.

For a customer acting wholly in the course of a trade, business, craft or profession, risk may pass when the item is handed to the carrier, unless otherwise agreed.

Please inspect the package promptly after delivery. Where there is visible external damage, photograph the unopened package and, where practicable, note the damage with the carrier before opening it.

Damage should be reported to shop@espigapinto.com as soon as reasonably possible, together with:

  • the order number;
  • photographs of the external packaging;
  • photographs of internal packing materials;
  • photographs of the item; and
  • a description of the damage.

Failure to report damage immediately does not extinguish mandatory consumer rights. Prompt reporting is requested so that we can investigate the incident and pursue any carrier claim.

Please retain all packaging until we confirm whether it is required for inspection or return.

16. EU/EEA CONSUMER RIGHT OF WITHDRAWAL

This section applies where you are a consumer entitled to the EU or EEA statutory right of withdrawal.

You may withdraw from an eligible distance contract without giving a reason within 14 days.

For a contract for the sale of goods, the withdrawal period normally expires 14 days after the day on which you, or a third party indicated by you other than the carrier, acquires physical possession of the goods.

Where several goods ordered together are delivered separately, the period normally runs from possession of the last item. Mandatory rules applicable to other delivery structures remain unaffected.

To exercise the right of withdrawal, you must inform us of your decision by an unequivocal statement sent to:

You may use the model withdrawal form at the end of these Terms, but its use is not compulsory.

It is sufficient to send the withdrawal communication before the 14-day period expires.

17. EFFECTS OF WITHDRAWAL

Where you validly withdraw, we will reimburse payments received from you for the withdrawn item, including the cost of the least expensive standard delivery method offered for that order, where a delivery charge was paid and reimbursement is required by law.

We will not reimburse any additional amount resulting from your choice of a more expensive delivery method.

Reimbursement will be made without undue delay and no later than 14 days after the day on which we are informed of the withdrawal. We may withhold reimbursement until we receive the returned goods or you provide evidence that they have been sent back, whichever occurs first.

Reimbursement will normally be made using the same payment method used for the original transaction, unless another method is expressly agreed. You will not be charged a reimbursement fee by us.

You must return the item without undue delay and no later than 14 days after notifying us of withdrawal.

Unless we agree to collect the item or the product page states otherwise, you bear the direct cost of returning it.

Because artworks may be fragile, valuable or unusually sized, return transport can be significant. Before dispatching a return, please contact us for packing and shipping instructions. You remain free to use another suitable method, but the item must be packed and transported with reasonable care.

You are responsible for any diminished value resulting from handling beyond what is necessary to establish the item’s nature, characteristics and condition. Removing protective interleaving, mishandling paper, mounting, framing, trimming, restoration, cleaning, exposure to unsuitable conditions or alteration may cause diminished value.

This provision does not restrict the reasonable inspection permitted by law.

18. EXCEPTIONS TO THE RIGHT OF WITHDRAWAL

The statutory right of withdrawal does not apply where an exception established by applicable law applies.

This may include goods made to the consumer’s specifications or clearly personalised, such as certain bespoke frames, mounts, inscriptions or specially configured products.

An exception will not be applied merely because an artwork is original, rare, numbered, vintage, limited-edition or unique.

Where an order combines a standard artwork with a bespoke framing service, the withdrawal treatment may differ between the artwork and the personalised component. We will identify any applicable exception before the relevant order is placed.

Other statutory exceptions may apply to particular products or services where legally relevant and properly disclosed.

19. RETURNS OUTSIDE THE EU/EEA

Customers outside the EU and EEA may have cancellation, return, rejection or refund rights under mandatory laws applicable in their place of residence.

Nothing in these Terms excludes such rights where they apply.

Where no mandatory right applies, any discretionary return is subject to our written agreement and any conditions communicated before the return is authorised.

International returns may be subject to customs procedures. Returned goods must be correctly identified as returns. We are not responsible for charges caused by inaccurate customs declarations made by the sender.

20. LEGAL GUARANTEE AND CONFORMITY OF GOODS

Consumers benefit from the mandatory legal rights applicable to goods that do not conform to the contract.

A product must correspond to its description and possess the qualities, characteristics and functionality reasonably expected having regard to:

  • its agreed description;
  • its nature;
  • its age;
  • whether it is new, vintage or pre-owned;
  • disclosed condition information;
  • any representative-image notice;
  • statements made on the product page; and
  • any specific purpose accepted by us before purchase.

For vintage, pre-owned or decades-old works, conformity is assessed in light of the age, medium, disclosed condition and characteristics reasonably expected of that type of item.

A characteristic expressly disclosed before purchase and specifically accepted as differing from ordinary expectations will not ordinarily constitute a lack of conformity, subject to applicable law.

Where an item lacks conformity, the consumer may be entitled to statutory remedies including, as applicable, repair, replacement, price reduction or termination of the contract. The appropriate remedy depends on the circumstances and applicable law.

For unique artworks, vintage objects and scarce editions, repair or replacement may be impossible or disproportionate. Where this is the case, another remedy required by law will be provided.

No commercial statement in these Terms replaces or reduces the legal guarantee.

21. INTELLECTUAL PROPERTY AND IMAGE RIGHTS

Purchase of an artwork, print, publication or object transfers ownership of the physical item only.

Unless expressly stated in writing, purchase does not transfer:

  • copyright;
  • reproduction rights;
  • publication rights;
  • merchandising rights;
  • image-licensing rights;
  • moral rights;
  • trademark rights; or
  • any other intellectual-property right.

You may own, possess, display and resell the physical item subject to applicable law. You may photograph it for ordinary private, insurance, collection-management or resale purposes to the extent permitted by law.

Commercial reproduction, publication, adaptation, merchandising, minting or use in connection with digital tokens, advertising or commercial products requires the prior permission of the relevant rights holder where legally required.

Website content—including text, photography, catalogue information, graphics, logos, video, layout and design—is owned by or licensed to us, the Estate or the relevant rights holder and is protected by applicable intellectual-property laws.

You may access the website for lawful personal use. You must not systematically copy, scrape, reproduce, republish, distribute or commercially exploit website content without permission, except where permitted by mandatory law.

“ESPIGA Pinto”, the Estate Shop’s logos and associated branding may be protected as names, trademarks or other distinctive signs. No right to use them is granted except as necessary to refer truthfully to a purchased item.

22. RESALE, PROVENANCE AND ESTATE DOCUMENTATION

You may resell a lawfully acquired physical work subject to applicable law.

On resale, you must not:

  • alter or falsify Estate documentation;
  • imply that the Estate endorses a seller, platform, price or transaction when it does not;
  • present documentation as relating to a different work;
  • remove qualifications or reservations from an Estate statement; or
  • use the Estate’s name or branding misleadingly.

Artist’s resale-right obligations may arise on certain professional-market resales. Responsibility for compliance rests with the persons designated by applicable law.

A future resale is not guaranteed, and we do not promise that the Estate Shop will repurchase or accept an item for consignment.

23. COLLECTOR SUBMISSIONS, CONSIGNMENT AND POSSIBLE RESALE

Collectors who own works attributed to ESPIGA Pinto may contact the Estate concerning possible review, consignment or resale.

Submitting information or an object does not oblige the Estate or Bishop & Melo, Lda. to:

  • authenticate it;
  • accept it for consignment;
  • list it for sale;
  • purchase it;
  • provide a valuation;
  • include it in an archive or catalogue; or
  • state reasons for declining it.

Any review, authentication, consignment, agency or resale arrangement will be subject to separate written terms.

The submitter must have authority to provide the materials and must disclose relevant ownership, provenance, lien, dispute and authenticity information. Costs relating to transport, insurance, examination, photography, conservation or research will be agreed separately where applicable.

24. NO INVESTMENT OR VALUATION ADVICE

The Estate Shop is not an investment platform or financial adviser.

Artworks and related objects are offered as artistic, cultural and collectible items. We do not represent or guarantee that:

  • an item will maintain or increase its value;
  • a resale market will exist;
  • the item can be resold at any particular price;
  • a museum, auction house or third party will accept a particular attribution or valuation; or
  • purchase will produce any financial, tax or investment benefit.

Any reference to rarity, provenance, historical sales, market context or collectability is descriptive and does not constitute financial or investment advice.

You should obtain independent professional advice where valuation, tax, customs, inheritance, insurance or investment considerations are material to your decision.

25. WEBSITE AVAILABILITY AND THIRD-PARTY SERVICES

We may update, suspend or change parts of the website where reasonably necessary.

We do not guarantee uninterrupted or error-free access. We are not liable for temporary interruption caused by maintenance, security incidents, hosting failure, network disruption or circumstances outside our reasonable control, except where liability cannot lawfully be excluded.

The website may contain links to third-party websites or use third-party tools, payment services, analytics, shipping services or social-media functions. Third parties operate under their own terms and privacy policies.

A link does not necessarily constitute endorsement. We are not responsible for third-party content or services outside our control, subject to mandatory law.

26. SHOPIFY

The shop is powered by Shopify.

Shopify provides the technical e-commerce infrastructure but is not the seller of products offered through the Estate Shop. Contracts for purchases are entered into with Bishop & Melo, Lda.

Shopify may process data in connection with its hosting, checkout, fraud-prevention and platform services, as further explained in the applicable privacy notices.

Nothing in this section limits any right or claim that cannot lawfully be waived.

27. PRIVACY

Our collection and use of personal data are governed by our Privacy Policy, available at https://shop.espigapinto.com/policies/privacy-policy.

Cookies and similar technologies are addressed in our Cookie Policy or cookie-management interface at https://shop.espigapinto.com/pages/cookie-policy.

Shopify and other service providers may process personal data in providing the website, checkout, payment, fraud-prevention, analytics or related services.

28. REVIEWS, FEEDBACK AND USER MATERIAL

Where you submit a review, image, comment or other material, you confirm that:

  • you have the right to submit it;
  • it is accurate to the best of your knowledge;
  • it is not unlawful, defamatory, threatening or misleading;
  • it does not infringe intellectual-property, privacy or personality rights; and
  • it does not contain malicious code or unauthorised advertising.

You grant us a non-exclusive, worldwide, royalty-free licence to store, reproduce and display the submitted material for operating, reviewing and promoting the Estate Shop, subject to applicable privacy and consumer law.

This licence does not transfer ownership of your material to us.

We may moderate or remove material where reasonably necessary for legal, security or platform-integrity reasons.

29. PROHIBITED USE

You must not use the website:

  • unlawfully or fraudulently;
  • to infringe intellectual-property or personality rights;
  • to impersonate another person;
  • to upload malicious code;
  • to interfere with the website’s operation or security;
  • to collect personal data unlawfully;
  • to conduct unauthorised scraping or systematic extraction;
  • to circumvent access controls, rate limits or robot exclusions;
  • to submit false payment or delivery information; or
  • to misrepresent an association with the Estate.

Reasonable automated access by search engines and services expressly authorised by us is not prohibited.

We may restrict or suspend access where we reasonably believe that a user has breached this section, subject to applicable law.

30. ERRORS AND CORRECTIONS

The website may occasionally contain typographical, technical or administrative errors.

We may correct an error and update information at any time. If a material correction affects an order already placed, we will contact you before acceptance or, where the contract has already been formed, deal with the matter in accordance with applicable contract and consumer law.

We will not use this section to make arbitrary retrospective changes to an accepted order.

31. LIABILITY

Nothing in these Terms excludes or limits liability:

  • for death or personal injury caused by negligence where such liability cannot be excluded;
  • for fraud or fraudulent misrepresentation;
  • for intentional misconduct or gross negligence where liability cannot be excluded;
  • for breach of mandatory consumer rights;
  • for liability under mandatory product-safety or product-liability law; or
  • where exclusion or limitation is otherwise prohibited.

For consumers, we are responsible for loss that is a reasonably foreseeable result of our breach of contract or failure to use legally required care.

We are not responsible for loss that is not reasonably foreseeable, for business loss suffered by a consumer, or for loss caused by inaccurate information supplied by the customer, except where applicable law provides otherwise.

For customers acting in the course of a business, and to the maximum extent permitted by law, we will not be liable for indirect or consequential loss, loss of profit, loss of business, loss of opportunity or loss of anticipated savings. Any further business-customer limitation must be interpreted subject to mandatory law and does not apply in cases of wilful misconduct or gross negligence.

32. EVENTS OUTSIDE OUR CONTROL

We are not responsible for delay or failure caused by circumstances outside our reasonable control, including natural disaster, fire, flood, epidemic, war, civil disturbance, government restriction, sanctions, labour dispute, customs disruption, carrier failure, power failure, telecommunications failure or cyber incident.

We will take reasonable steps to reduce the effect of the event and resume performance. Your mandatory rights, including rights arising from excessive delay, remain unaffected.

33. TERMINATION OF WEBSITE ACCESS

You may stop using the website at any time.

We may suspend or terminate an account or access where reasonably necessary because of:

  • material breach of these Terms;
  • fraud or attempted fraud;
  • security risk;
  • unlawful conduct; or
  • conduct that materially harms the website, the Estate or other users.

Termination of website access does not cancel an accepted order unless there is a lawful basis to cancel it.

Provisions that by their nature should continue—including intellectual property, payment obligations, liability, governing law and dispute provisions—survive termination.

34. COMPLAINTS

35. ALTERNATIVE DISPUTE RESOLUTION

A consumer may refer an eligible dispute to a competent Portuguese consumer alternative-dispute-resolution entity.

The competent entity may depend on the consumer’s residence, the transaction, the value of the dispute and our registered-office location.

Further information concerning Portuguese consumer-dispute-resolution entities is available from the Portuguese Directorate-General for Consumers.

Submission to or participation in alternative dispute resolution will apply to the extent required by law or accepted by us in the particular case.

The former European Commission Online Dispute Resolution platform was discontinued on 20 July 2025 and is therefore not identified as an available complaint platform in these Terms.

36. GOVERNING LAW AND COURTS

These Terms and contracts entered into through the Estate Shop are governed by Portuguese law.

Where you are a consumer habitually resident in another country, this choice of law does not deprive you of the protection of mandatory provisions of the law that would apply in the absence of this choice.

The Portuguese courts have jurisdiction, without prejudice to:

  • any mandatory consumer-jurisdiction rule;
  • a consumer’s right to bring proceedings in another competent court under applicable national or EU law; and
  • any valid alternative-dispute-resolution procedure.

For a customer acting wholly in the course of a business, the courts of Coimbra, Portugal will have exclusive jurisdiction, unless otherwise agreed in writing or prohibited by mandatory law.

37. CHANGES TO THESE TERMS

We may update these Terms to reflect legal, regulatory, technical or operational changes.

The Terms applicable to an order are those presented when the order is placed, unless a change is required by law or expressly agreed with you.

Updated Terms will be posted on the website with a revised “Last updated” date. Material changes affecting ongoing website use will be communicated where required by law.

38. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, it will be applied to the greatest extent permitted or severed to the minimum extent necessary.

The remaining provisions will continue in effect.

39. NO WAIVER

A delay or failure to enforce a right does not constitute a waiver of that right.

A waiver is effective only for the specific circumstance in which it is given.

40. ASSIGNMENT

You may not transfer your rights or obligations under an order without our consent, except where applicable law permits.

We may transfer our rights or obligations as part of a genuine corporate restructuring, business transfer or transfer of the Estate Shop’s operation, provided that this does not reduce a consumer’s rights or guarantees.

41. ENTIRE AGREEMENT

These Terms, the applicable product description, the order confirmation and the policies expressly incorporated into them form the agreement concerning the purchase.

They do not exclude representations or rights that cannot lawfully be excluded.

Where separately negotiated written terms conflict with these Terms, the separately negotiated terms prevail for that transaction.
